I don't renumber the other network.....because i've the hosts use ip
broadcast for talk the other hosts....

  I'm guessing, that there is no way how to make this work. All
computers behind
  (a) will still have  better route (local network) to any host in his
network
  (of course, if you don't make any hostroute), than to the same net
behind (b).

  The sheme looks like a natural VPN scheme, and i'm guessing, you'll
need to
  renumber one of the network to get something like this:
