[c-nsp] Thanks for the help. crossover ain't working. Tried it.

   Make sure the L3 port you are using is an L2, switchport, on the same 
VLAN as the L2 switch your trying to connect to.  Or as suggested by 
Scott if it is a trunk you need something like this on both ends:

interface GigabitEthernet5/2
  no ip address
  switchport
  switchport trunk encapsulation dot1q
  switchport mode trunk
