cheap solution:

Openbsd on an HP Neoware thin client box

you get 2 db9 serial ports and a full OS, ssh, secure, pf firewall rules, 
nat etc. Load minicom from packages and you have your serial console 
server with a nice feature-rich terminal emulator.

add dual port pci-x card and setup a bridge group and you have a mini 2
port ethernet switch too. run dhcp on the vether0 logical interface (like 
cisco bvi) and you can connect 2 devices via ethernet you need to talk to, 
like an RSA or ILO or DRAC.
