Check out http://www.cisco.com/en/US/tech/tk652/tk701/
technologies_tech_note09186a0080094584.shtml. It describes moving
from sip to sccp, but for MGCP the process should be similar.

In general you need a tftp server with OS79XX.TXT configured with the
image you wish to load. At boot the phone will compare the first
several characters of that image with what it is currently running
and if the protocol is different (ie sccp, sip, mgcp) then it will
load the new firmware.
