And the winner is Nick!  The VG202 had "no ip routing" in the global config.  As soon as I removed it ... audio in both directions.

Check to make sure ip routing is enabled.  For some reason people have
a tendency to turn this off and it breaks VOIP.  Otherwise check
routing as noted.
