No, how did you come to this conclusion? The NM-2FE2W is supported on
the 3640 in the following IOS trains: 12.1T, 12.2, 12.2T, 12.3 (and some
others, see CCO).

So while you can't use 12.1(20), there is no reason to jump to 12.3(1),
just use a recent 12.2 image (12.2(17))
