OK - found the REAL issue now.
My standby unit turned into a brick on me :o) I actually SAW it happen. All the link lights went out at once.
Thanks again for the help.

Ryan -
Solved... for now at least...
Still using straight thru cable for synch interface I upgraded to 8.21 - based on the following bug IDs:
CSCsu88174
CSCsw98373
CSCsy21727
CSCsz63217
For the record the sh run | inc fail:
failover lan unit primary
failover lan interface failover Ethernet0/3
failover link failover Ethernet0/3
failover interface ip failover 172.20.20.6 255.255.255.0 standby 172.20.20.7
and
failover lan unit secondary
failover lan interface failover Ethernet0/3
failover link failover Ethernet0/3
failover interface ip failover 172.20.20.6 255.255.255.0 standby 172.20.20.7
Thanks again,
-Jeff

Have you tried a crossover? Can you post 'show run failover' ? A console on the standby firewall might reveal something during the replication process too.
