Did you check that you have enough memory for running this IOS?
According to Cisco's website, this version of IOS requires a minimum of 128M DRAM and 28M of Flash.
You're trying to run a very "fresh" version, and quite "heavy" so you must be sure your router can handle it.
I'd stay away from the "train" versions unless you have a very good reason to use it.
I'd rather give a try to the LD version 12.4(19) which I've tried and have found quite stable.
I'm using a more basic feature set and on a different platform though...
