I prepared a DOC to upgrade from 3.3(3) to 4.0(1) for your reference....
Upgrading the Publisher from 3.3(3) to 4.0(1)/4.0(2) on MCS7800 Series
* Remove the System from the NT Domain or Microsoft Active
Directory Domain
and Reboot the Server (Required, If Configured)
* Disable and Stop Third-Party, Cisco-Verified, and Cisco-Provided
Co resident
Applications and Reboot the Server (Required)
* Install and Configure CIPT Backup and Restore (BARS) Version
4.0(2) (or Later)
* Run the Cisco CallManager Upgrade Assistant Utility on All
Servers in the
Cluster (Strongly Recommended)

* Install Microsoft SQL Server 2000, Service Pack 3a (Required)
* CallManager 4.0 Installation, Upgrade, and Recovery Disk 1 of 2
into the drive. and Insert it into the drive. Cisco CallManager 4.0(1)
Installation, Upgrade, and Recovery Disk 1 and 2
* Locate the Cisco CallManager 4.0 Installation, Upgrade, and
Recovery Disk 1 of 2 into the drive. and insert it into the drive.The
installation process automatically starts. Continue the installation by
proceeding to "Upgrading Related Cisco CallManager Services and
Detecting the Server (Required)" section.
* To confirm which version of Cisco CallManager you are upgrading
from and which version you are upgrading to, click yes.
* To confirm that you have disabled antivirus and intrusion
detection software, click yes.
* If you have not installed Microsoft SQL 2000 Service Pack 3a (or
a later version), an error message displays.
To obtain the service pack and corresponding readme documentation, go to
http://www.cisco.com/kobayashi/sw-center/sw-voice.shtml.
Note: If you just installed the service pack, you must insert the Cisco
CallManager Installation, Upgrade, and Recovery Disk 1 of 2 again after
the service pack installs and the server reboots; continue to wait while
the Cisco IP telephony application prepares to install.
* The Preparing to Install window displays while the installation
program copies files to your server. This process takes approximately 10
minutes. Do not click cancel.
* The Resuming the InstallShield Wizard window displays. Click
Next.
* Enter the administrator password. Click Next.
* Enter the private password phrase for the cluster; confirm the
private password phrase and click next.
* To begin the installation, click Install.The status window
displays. Do not click cancel.
* If you are using the Cisco CallManager 4.0(2) installation
disks, a message displays that indicates that you need to insert the
next upgrade disk. Perform the following steps:
* Insert the Cisco CallManager 4.0(2) Installation, Upgrade, and
Recovery Disk 2 and click OK.A message displays that indicate that you
need to install the first upgrade disk again.
* Insert the Cisco CallManager 4.0(2) Installation, Upgrade, and
Recovery Disk 1 of 2 and click OK.
* Click Finish.
Reverting to the Previous Configuration after an Upgrade Attempt
Perform the following procedure, depending on whether you are reverting
the publisher database server or the subscriber server(s):
Publisher Database Server
* Reinstall the operating system by using Cisco-provided operating
system version 2000.2.4 or later.
* You must perform this task by using the Cisco-provided disks
that shipped with Cisco CallManager server.
* Using the disks that originally shipped with Cisco CallManager,
reinstall a version of Cisco CallManager 3.2, 3.3, or 4.0.
* If you upgraded from Cisco CallManager 3.3, install and
configure the Cisco IP Telephony Backup and Restore System (BARS).
* Perform the necessary upgrade(s) to match the most recent
successful backup.
* Restore the data.
Note: To revert to the pre-upgrade configuration, you must restore the
version of Cisco Call Manager that was in effect when the last
successful backup occurred.
Subscriber Server(s)
* Reinstall the operating system by using Cisco-provided operating
system version 2000.2.4 or later. You must perform this task by using
the Cisco-provided disks that shipped with Cisco CallManager server.
* Using the disks that originally shipped with Cisco CallManager,
reinstall a version of Cisco CallManager 3.2, 3.3, or 4.0 (depends on
the original disks).
* If you upgraded from Cisco CallManager 3.3, install and
configure the Cisco IP Telephony Backup and Restore System (BARS).
Reverting Upgraded Cisco IP Telephony Applications After You
Revert Cisco CallManager
Note: After you revert the entire cluster to a previous version of Cisco
CallManager, you must revert integrated Cisco IP telephony applications.
You must revert these integrated applications to the version that is
compatible with the reverted Cisco CallManager. To revert the
application, perform the following procedure:
>From the application server or the client workstation, if applicable,
browse into the reverted server that is running Cisco CallManager
Administration and log in with administrative privileges.
* From the Application menu, choose Install Plugins.
* Click the appropriate plugin, as seen in the following list:
* Cisco Telephony Service Provider for Cisco SoftPhone
* Cisco JTAPI for any application that interfaces with Cisco
CallManager by using JTAPI.
* To complete the installation, follow the prompts in the window.
* Perform this procedure on all servers in cluster where the
application is installed.

CallManager upgrade steps:
1. Uninstall existing BARS software
2. upgrade to version 3.3(5).
3. upgrade OS to 2000.4.2 with latest sr
4. upgrade to version 4.1(3)
5. Install with BARS 4.0(9)
6. backup CCM 4.1(3) config to remote drive
7. restore BARS to new CM 4.1(3) on the new hardware
All our unity servers are Voice messaging only.
Unity Upgrade Path:
1. upgrade Unity TSP to version 8.0(1) which is compatible
with CCM 4.1(3) - new H/W servers and then test
2. upgrade unity to version 4.0(4)
3. upgrade to unity version 4.1(1)
4. Install Dirt and back up to remote drive
5. restore unity to the new H/W server running Unity
4.1(1).
How to ensure that all phone setting and content of vm will be retained
after the upgrade? Any idea? Thank you

Where is the step where you upgrade from 3.3(5) to 4.1(3)? Remember
you can't take a backup at 3.3(5) and restore it on to 4.1(3).
