When the phone is connecting to the tftp server are you seeing any error messages on the phone screen? Run a "debug tftp events" then reload the phone and see what turns up in the debugs.
After uploading new firmware to flash, make sure you run "create cnf" in telephony-service mode so that new .xml phone templates are generated.
(config)#telephony-service
(config-telephony)#create ?
cnf-files create XML cnf for ethernet phone
What keystrokes are you pressing to try to force the factory reset?

I think you need to check and see why the phone isn't updating its
firmware... are other phones on the CME getting the new code, did they
get the new code from that device...
Possible that you are missing some critical file it is looking for...
try downloading the firmware from Cisco and re-uploading it to the
router, make sure you add all of the tftp-server commands for each
file and serve up the file under telephony-services (probably
something .loads... leave off the .loads tho...)
